Midea Platform Service Agreement
You are welcome to sign this Midea Platform Service Agreement (hereinafter referred to as the "Agreement") with Midea Platform and use Midea Platform Services!
This service agreement replaces the previous user agreements of Midea's various malls and app clients from the date of its release. The "service agreements" referred to throughout the Midea platform refer to this agreement.
In order to protect your own rights, please read the specific expressions of each clause carefully. The index keywords listed before the terms of service are only used to express the purpose of the terms, and do not affect or limit the meaning or interpretation of the terms of this agreement.

Midea Platform Rules: Includes all rules, interpretations, announcements, etc. that have been issued and subsequently released in all Midea platforms, as well as various rules, implementation details, product process descriptions, announcements, etc. issued by each platform. Affiliated companies: Single or collective name for all operators of Midea Group.

Second, the scope of the agreement
2.1 Contracting entity
[Equal subject] This agreement is concluded between you and Midea platform operators. This agreement has the same contractual effect as yours and Midea platform operators.
[Subject information] Midea platform operators refer to the legal entities that operate Midea platforms. You can check the information disclosed at the bottom of each homepage of Midea platforms at any time to determine the subject of Midea that fulfills your contract. Under this agreement, Midea's platform operators may change according to Midea's business adjustments. After the change, Midea's platform operators will jointly perform this agreement with you and provide services to you. The change of Midea's platform operators will not affect your Equity under the agreement. Midea platform operators may also be added because of the provision of new Midea platform services. If you use the new Midea platform services, you are deemed to agree to the newly added Midea platform operators to perform this agreement with you. In the event of a dispute, you may determine the subject and the counterparty to the performance of your contract based on the services you use and the specific actors who have an impact on your rights and interests.
2.2 Supplementary Agreement
Due to the rapid development of the Internet, the terms set out in this agreement signed by you and Midea cannot completely list and cover all your rights and obligations with Midea, and the existing agreements cannot guarantee full compliance with future development needs. Therefore, Midea ’s platform privacy policy and Midea ’s platform rules are supplementary agreements to this agreement, which are inseparable from this agreement and have the same legal effect. If you continue to use Midea ’s platform services, you are deemed to agree to the above supplemental agreement.

Third, account registration and use
3.1 User qualification
You confirm that before you start the registration process to use Midea's platform services, you have the capacity for civil conduct that is commensurate with your behavior as required by the laws of the People's Republic of China. If you do not have the civil capacity that suits your actions, you should obtain the unity of your parent or guardian, and you and your parent or guardian shall bear all the consequences caused by it in accordance with the law.
In addition, you also need to ensure that you are not the subject of trade restrictions, sanctions or other legal or regulatory restrictions imposed by any country, international organization or region, otherwise you may not be able to register and use Midea's platform services normally.

3.2 Account Description

[Account Registration] After you follow the registration page to fill in the information, read and agree to this agreement, and complete the registration process, you can get a Midea platform account and become a Midea platform user.
[Account Use] You have the right to log in to Midea's platform using your Midea member name, email address, mobile phone number (hereinafter referred to as "Account Name") and the password (the account name and password collectively referred to as "Account") that you set or confirm.
Because your Midea account is linked to your personal information and Midea platform business information, your Midea account is limited to you. Without the consent of Midea Platform, your direct or indirect authorization of a third party to use your Midea account or obtain information under your account is invalid. If Midea Platform determines that the use of your Midea account may endanger your account security and / or Midea platform information security, Midea Platform may refuse to provide corresponding services or terminate this agreement.

[Account transfer] Because the user's credit information is associated with the user account, you can only transfer the account if there is a legal provision, a judicial ruling, or the consent of the United States, and in accordance with the user account transfer process stipulated by the United States platform rules. Once your account is transferred, the rights and obligations under that account will also be transferred. In addition, your account must not be transferred in any way, otherwise Midea has the right to pursue your liability for breach of contract and all liabilities arising therefrom shall be borne by you.

[Real-name authentication] As a platform operator of Midea, in order to make you better use the various services of Midea platform and ensure the security of your account, Midea can require you to complete real-name verification in accordance with the requirements of Midea companies and Chinese laws.

[Inactive account recovery] If your account meets the following conditions at the same time, Midea can recover your account, your account will no longer be able to log in to Midea platform, and the corresponding service will be terminated at the same time:
(1) Unbound accounts that have passed real-name authentication;
(2) Not being used to log in to any US platform for six consecutive months;
(3) There is no valid business that has not expired.

3.3 Registration Information Management

Verify that you cooperate to provide the latest, true, complete, and effective information. 3.4 Account Security Specifications

Midea is not responsible for the loss and consequences of your account due to your active disclosure or your attack, fraud, etc., and you should recover it from the infringer through judicial or administrative remedies.

[Responsibility for account behavior] Except for the fault of Midea, you shall be responsible for all the behavior results (including but not limited to signing various agreements online, publishing information, purchasing goods and services, and disclosing information, etc.) under your account.

[Information for Daily Maintenance] If you find any unauthorized use of your account to log in to Midea's platform or other situations that may cause your account to be stolen or lost, you are advised to notify Midea immediately. You understand that it takes reasonable time for Midea to take any action against you, and that Midea's actions at your request may not avoid or prevent the formation or expansion of the consequences of violations. 4. Midea Platform Services and Specifications

4.1 Purchase and evaluation of goods and / or services

4.2 Dealing with disputes
[Transaction dispute settlement channels] If you have disputes during the transaction on the Midea platform, you may have the right to choose the following channels to resolve:
(1) Independent consultation with the main body of the platform;
(2) requesting mediation by a consumer association or other legally established mediation organization;
(3) complaints to relevant administrative departments;
(4) In accordance with this user agreement, bring a lawsuit in the people's court where the specific subject providing the service is located.
4.3 Limitation of Liability
[Force majeure and third-party reasons] Midea fulfills its basic guarantee obligations in accordance with the law. However, Midea does not assume corresponding liabilities for breach of contract due to the following reasons: obstacles to contract performance, flaws in performance, delay in performance, or changes in performance:

(4) Infringing on the intellectual property rights of others or involving third party commercial secrets and other exclusive rights;
(5) Insulting, slandering, intimidating, or involving the privacy of others, and infringing upon the legal rights and interests of others;
(6) Viruses, Trojan horses, crawlers and other malicious software or program code that may damage, tamper with, delete, or affect the normal operation of Midea's platform or unauthorized access to data and personal data of Midea's platform and other users;
(7) Others that violate social public interests or public morals or are not suitable for publishing on the platform of the United States in accordance with the relevant platform agreements and rules of the United States.

[Authorized Use] For the non-personal information such as text, pictures, videos, and audios other than personal information provided, published, and formed in the use of Midea's platform services, you will be granted Midea and its affiliates for free within the protection period prescribed by law The right to obtain a worldwide exclusive license to use and sub-license to other third parties and the right to obtain evidence and bring a lawsuit against third party infringement in its own name. You agree that Midea and its affiliates will store, use, copy, modify, edit, publish, display, translate, distribute your non-personal information or make derivative works thereof, and will use the above-mentioned forms, media, or technologies in a form known or developed in the future. Six, the user's breach and treatment
6.1 Breach of contract
If one of the following situations occurs, you will be deemed to have breached the contract:
(1) Violating relevant laws and regulations when using Midea platform services;
(2) Violation of this agreement or the supplementary agreement of this agreement (ie, Article 2.2 of this agreement).
In order to adapt to the development of e-commerce and meet the needs of a large number of users for efficient and high-quality services, you understand and agree that Midea can stipulate procedures and standards for the determination of breach of contract in Midea's platform rules. For example: Midea can determine whether you constitute a breach of contract according to the relationship between your user data and mass user data; you are obliged to fully prove and reasonably explain your abnormal data, otherwise it will be deemed a breach of contract.

6.2 Measures for breach of contract
[Information processing] If the information you post on the Midea platform constitutes a breach of contract, Midea can immediately delete and block the corresponding information according to the corresponding rules.
[Behavior Restrictions] If your behavior on the Midea platform, or behaviors that have not been implemented on the Midea platform but have an impact on the Midea platform and its users constitutes a breach of contract, Midea may suspend the provision of some or all services to you, etc. in accordance with the corresponding rules Action. If your behavior constitutes a fundamental breach of contract, Midea may seal your account and terminate the service to you.

If your actions cause Midea and / or its affiliates to suffer losses (including their direct economic losses, loss of goodwill, and compensation paid externally, settlements, lawyers' fees, litigation fees and other indirect economic losses), you should compensate Midea And / or its affiliates for all the aforementioned losses.
If your actions expose Midea and / or its affiliates to claims by third parties, Midea and / or its affiliates may recover all losses from you after undertaking obligations such as payment to third parties. If due to your actions, a third party suffers a loss or you are not in compliance with the mediation decision, Midea and / or its affiliates for the protection of social public interests or consumer rights, you can instruct Alipay to transfer funds from your Alipay account. 6.4 Special Agreement
[Associated processing] If you terminate this agreement due to a serious breach of contract, Midea and / or its affiliates may suspend or even cooperate with you under other agreements for the purpose of maintaining platform order and protecting consumer rights. Measures to terminate the agreement and notify you in the manner agreed in Article 8 of this agreement.

Changes to the agreement

8.2 Service of notice

You agree that the above methods of service apply at all stages of the judicial process. Such as entering the litigation procedure, including but not limited to first instance, second instance, retrial, enforcement and supervision procedures.

Nine, termination of the agreement
[User-initiated termination] You have the right to terminate this agreement in any of the following ways:

(2) before the change takes effect, you stop using it and express your unwillingness to accept the change;
(3) You expressly do not want to continue to use Midea platform services and meet the termination conditions.

[Termination of Midea's Initiation] Midea may notify you to terminate this agreement in the ways listed in Article 8 of this Agreement when:
(1) You violate this agreement, and Midea terminates this agreement in accordance with the terms of breach;
(2) You misappropriated other people's accounts, posted prohibited information, defrauded others' property, sold fake goods, disrupted market order, or used improper means to make profits, etc., and Midea sealed your account in accordance with Midea platform rules;
(3) In addition to the above circumstances, because you have repeatedly violated the relevant provisions of the Midea Platform Rules and the circumstances are serious, Midea has sealed your account in accordance with Midea Platform Rules;
(4) Your account was recovered by Midea in accordance with this agreement;
(5) Your platform in the United States has been fraudulent, publishing or selling counterfeit or inferior / infringing goods, infringing on the legal rights and interests of others, or other serious violations of laws and contracts;
(6) Other circumstances in which the service should be terminated.
9.2 Treatment after agreement termination
[Disclosure of User Information] After the termination of this agreement, Midea has no obligation to disclose any information in your account to you or a third party designated by you, except as expressly provided by law.
[Rights of Midea] After the termination of this agreement, Midea still enjoys the following rights:
(1) Continue to keep all kinds of information listed in Article 5 of this agreement on the platform you keep in Midea;
(2) For your past breach of contract, Midea can still hold you liable for breach of contract in accordance with this agreement.

[Transaction processing] After the termination of this agreement, the transaction orders generated by you during the duration of this agreement shall continue to be fulfilled, and shall bear any losses or additional costs arising therefrom.

X. Application of Law, Jurisdiction and Others

[Applicable law] The conclusion, entry into force, interpretation, amendment, supplement, termination, execution and dispute resolution of this agreement shall be governed by the laws of the People ’s Republic of China and no conflict of laws shall be applied; if there are no relevant provisions in the law, refer to commercial practice and / Or industry practice.

[Jurisdiction] The disputes arising from your use of Midea's platform services and related to Midea's platform services shall be resolved by Midea in consultation with you.
